Terms of Service
Scope
These Terms govern your use of the site and any consulting/analytics services referenced. If we sign a separate agreement or SOW, that governs in case of conflict.
No Medical or Legal Advice
Content/services are informational. We do not provide medical or legal advice; you remain responsible for decisions.
Client Responsibilities
- Provide accurate information and timely access.
- Maintain necessary consents/authorizations for data shared.
- Comply with laws and payer rules, including HIPAA where PHI is involved.
Data Ownership & PHI
You own your data. We process it only to deliver services, per contract. PHI is handled under a BAA with appropriate safeguards and retention limits.
Confidentiality
Both parties will protect confidential information and use it only for the engagement.
Fees & Payment
As specified in the SOW/order form.
Intellectual Property
We retain our pre‑existing IP. Unless an SOW states otherwise, you receive a non‑exclusive license to use deliverables internally. Your trademarks and data remain yours.
Warranties & Disclaimers
Services are provided “as is” without warranties to the fullest extent permitted by law.
Limitation of Liability
No indirect/special/consequential damages. Total liability capped at fees paid for the relevant services in the prior 12 months.
Indemnification
You will indemnify ClinAnalytix against claims arising from your misuse or violation of these Terms.
Term & Termination
Either party may terminate for uncured material breach after 30 days’ written notice. Certain sections survive termination.
Governing Law
Specify your preferred U.S. state (update this section). Venue/jurisdiction will be in that state.
Changes
We may update these Terms; material updates will be posted with a new effective date.
